Purchases, Subscriptions & Pre-Orders Policy

This Purchases, Subscriptions & Pre-Orders Policy (“Policy”) governs all one-time purchases, recurring subscription orders, auto-ship arrangements, pre-orders, backorders, wholesale / bulk transactions, freight transactions, local pickup transactions, and related commercial dealings with Z Natural Foods LLC (“ZNF,” “we,” “us,” or “our”), a Florida company headquartered in West Palm Beach, Palm Beach County, Florida.
By accessing any ZNF site, checkout flow, marketplace storefront, communication channel, pickup workflow, order-management function, or related service, or by placing, attempting to place, causing to be placed, paying for, receiving, picking up, shipping, exporting, importing, using, or otherwise interacting with any order, product, or service offered by ZNF, you (“Customer,” “Buyer,” or “you”) acknowledge and agree that:

you have read, understood, and agree to be bound by this Policy;

this Policy is incorporated into, and forms part of, ZNF’s Terms of Use (“TOU”);
-
your transaction is also governed by all other legal policies, notices, disclosures, and guidelines posted on ZNF’s Legal page at https://www.znaturalfoods.com/pages/legal (collectively, the “ZNF Legal Policies”), including without limitation the TOU, Privacy Policy, Cookie Policy, Shipping & Delivery Policy, Cancelations, Returns, Refunds & Title Policy, Accessibility Statement, California Prop 65 Notice, Legal Notice / Disclaimer Policy, Mobile Terms of Service, Content Policy, Product Review Guidelines, Digital Advertising & Analytics Policy, Information Security Policy, GDPR Statement, CCPA / privacy-choice disclosures, DMCA Compliance Statement, Agent Terms, and any future policy incorporated by reference;
-
the ZNF Legal Policies apply to the fullest extent permitted by law across all covered order channels and customer interactions; and
-
any dispute relating to this Policy, any order, or any ZNF product or service is subject to the binding arbitration and class-waiver provisions contained in the TOU, except to the limited extent non-waivable law provides otherwise.
Nothing in this Policy is intended to waive any non-waivable right or obligation under applicable law.
1. SCOPE; COVERED TRANSACTIONS; ACCEPTANCE ACROSS ALL ORDER CHANNELS
1.1 Covered Transactions
This Policy applies to all lawful transactions in which ZNF acts as the seller, merchant of record, fulfillment party, publisher, contracting party, or pickup / shipping party, including without limitation:
-
orders placed through ZNaturalFoods.com or any ZNF-controlled checkout flow;
-
orders placed by phone, email, chat, SMS/MMS, social messaging, invoice, purchase order, quote acceptance, EDI, or other written, oral, electronic, or digital channel;
-
retail / consumer (B2C) transactions;
-
wholesale, bulk, freight, export, and other business-to-business (B2B) transactions;
-
subscription / auto-ship / replenishment / recurring-order arrangements;
-
pre-orders, backorders, custom orders, made-to-order orders, private-label orders, custom-packaging orders, and special commercial orders;
-
local pickup at or from ZNF’s West Palm Beach facility or any designated pickup point;
-
transactions conducted through marketplace storefronts, social-commerce channels, or third-party platforms where ZNF is the seller or merchant of record; and
-
transactions initiated, assisted, or transmitted through any authorized automated, agentic, semi-automated, or electronic ordering method permitted by ZNF.
1.2 Binding Effect Regardless of Channel
By using or interacting with any covered ZNF ordering channel or by placing or attempting to place any order through any channel described above, you agree that your transaction is governed by this Policy, the TOU, and all other applicable ZNF Legal Policies then in effect.
1.3 Electronic Records, Electronic Signatures, and Automated Transactions
To the fullest extent permitted by law, electronic records, electronic signatures, email confirmations, electronic assent, click-through actions, checkout actions, electronic invoice approvals, digital acknowledgments, and other electronic manifestations of assent shall have the same force and effect as paper records and handwritten signatures. Contracts and related records may be formed, transmitted, stored, and enforced through electronic and automated means to the extent permitted by law and the applicable ZNF Legal Policies.
1.4 Covered and Excluded Third-Party Channels
This Policy applies to authorized ZNF sales channels and to third-party storefronts or marketplaces only to the extent ZNF is the seller, merchant of record, publisher, fulfillment party, or contracting party for the relevant transaction.
If a purchase is made from an unauthorized seller, unrelated reseller, diverted channel, or third party for whom ZNF is not the seller or merchant of record, ZNF may not control the listing, pricing, storage, handling, packaging, shipping, return process, dispute process, or chain of custody, and ZNF reserves the right to deny warranty, refund, replacement, authenticity support, or other relief to the fullest extent permitted by law.
1.5 Order of Precedence
If there is a direct conflict among ZNF policies on the same subject matter, the order of precedence is:

Terms of Use;
-
this Purchases, Subscriptions & Pre-Orders Policy;
-
Shipping & Delivery Policy;
-
Cancelations, Returns, Refunds & Title Policy; and
-
other ZNF Legal Policies, to the extent specifically applicable.
2. ORDER PLACEMENT, QUOTATIONS, OFFER, AND ACCEPTANCE
2.1 Invitations to Make an Offer
All product pages, marketplace listings, catalogs, brochures, ads, emails, phone discussions, freight estimates, price sheets, quotations, and related commercial communications are invitations to make an offer only, unless ZNF expressly states otherwise in writing. They do not guarantee availability, acceptance, shipment, price, delivery date, or performance.
2.2 Customer Offer; ZNF Acceptance
Submission of an order, checkout, email purchase request, phone order, invoice approval, purchase order, freight request, or marketplace checkout constitutes your offer to purchase from ZNF under this Policy, the TOU, and the ZNF Legal Policies.
ZNF has no obligation to accept any order unless and until ZNF expressly accepts it. Unless otherwise expressly agreed in writing, acceptance occurs only when ZNF:
-
issues an express written acceptance;
-
ships the goods;
-
tenders the goods to a carrier;
-
releases the goods for local pickup to the customer or the customer’s authorized representative; or
-
otherwise acts in a manner clearly recognizing formation of the contract.
2.3 Actions That Do Not Alone Constitute Acceptance
The following do not by themselves constitute acceptance:
-
a cart display;
-
an order acknowledgment;
-
an automatically generated confirmation email;
-
a quotation;
-
a pro forma invoice;
-
a payment authorization hold;
-
fraud screening;
-
address verification;
-
internal processing status; or
-
customer-service communications occurring before express acceptance.
2.4 Right to Refuse, Hold, Limit, or Cancel Orders
To the fullest extent permitted by law, ZNF may accept, reject, hold, limit, suspend, delay, reverify, modify, or cancel any order or transaction, in whole or in part, for any lawful or commercially reasonable reason, including without limitation:
-
inventory shortages or allocation decisions;
-
pricing, tax, shipping, freight, listing, content, or system errors;
-
payment failure, fraud risk, or verification failure;
-
export, sanctions, customs, tax, resale, or compliance risk;
-
suspected abuse, refund abuse, chargeback abuse, or marketplace manipulation;
-
unsafe shipping conditions, carrier constraints, food-defense, tampering, or chain-of-custody concerns;
-
inaccurate consignee, pickup, freight, billing, or import information;
-
force majeure, operational impracticability, or commercial unreasonableness; or
-
any other reason permitted by applicable law or the ZNF Legal Policies.
2.5 Custom, Private-Label, and Special Orders
Custom products, custom packaging, custom labeling, private-label runs, special sourcing, export-prepared lots, freight-prepared commercial lots, or other specially configured transactions may require additional documentation, compliance review, lead time, approvals, deposits, and special conditions. Any time frame provided for such orders is an estimate only unless expressly guaranteed in a separate written agreement signed by an authorized ZNF representative.
3. PRICING, AVAILABILITY, SHIPPING ESTIMATES, AND COMMERCIAL TERMS
3.1 Prices, Currency, Taxes, and Fees
Unless otherwise expressly stated in writing, all prices are stated in U.S. dollars and are subject to change at any time before order acceptance. Prices may exclude shipping, handling, freight, storage, pickup-related charges, customs duties, VAT/GST, brokerage, port charges, accessorial charges, insurance, taxes, and other governmental or carrier-imposed charges unless expressly included.
3.2 Availability and Allocation
All products are offered subject to availability. ZNF does not guarantee continued availability of any product, packaging format, label version, lot, crop cycle, supplier source, carrier method, or promotion. ZNF reserves the right to limit quantities, allocate inventory, split shipments, substitute non-material packaging revisions, or discontinue items consistent with applicable law.
3.3 Pricing and Listing Errors
ZNF endeavors to present accurate product, pricing, and availability information, but typographical, catalog, feed, currency, freight-estimate, promotion, checkout, tax, image, description, and system errors may occur. To the fullest extent permitted by law, ZNF may correct such errors at any time, revise or withdraw listings, cancel or refuse orders affected by clear error, request customer confirmation before proceeding at corrected terms, and issue an appropriate refund or credit if payment was taken for an order ZNF elects not to accept.
3.4 Shipping and Delivery Dates Are Estimates Only
Any ship date, transit estimate, delivery estimate, route map, freight estimate, or cut-off time is an estimate only, not a guarantee, unless ZNF expressly provides a written guarantee signed by an authorized representative.
3.5 Commercial Terms for Freight, Pickup, and International Transactions
Local pickup, customer-arranged carrier pickup, LTL / FTL freight, export, international shipping, and cross-border transactions may involve separate documentary, timing, accessorial, compliance, customs, insurance, and liability rules. Unless ZNF expressly agrees otherwise in writing, such transactions remain subject to ZNF’s shipping, title, risk-allocation, carrier-claim, customs, and importer-of-record rules.
4. PAYMENT AUTHORIZATION, VERIFICATION, B2C / B2B TERMS, MARKETPLACES, AND LOCAL PICKUP
4.1 Payment Authorization
By placing an order or otherwise requesting a transaction with ZNF, you represent, warrant, and covenant that:
-
you are legally authorized to use the payment method, account, purchase instrument, or credit arrangement provided;
-
all submitted billing, pickup, consignee, account, tax, and shipping information is true, current, and complete;
-
you authorize ZNF and its service providers to verify that information and process payment-related activity reasonably necessary to administer the order; and
-
you will pay all amounts due, including product price, taxes, duties, fees, surcharges, freight, storage, pickup, customs, and accessorial charges.
4.2 Authorization Holds and Failed Payments
ZNF may place authorization holds, perform address verification, use fraud-screening tools, or request supplemental verification before accepting an order. A payment authorization or hold does not by itself constitute acceptance. If payment is declined, reversed, expires, or cannot be lawfully processed, ZNF may cancel, delay, or suspend the order or require an alternative payment method.
4.3 Risk-Based Verification
ZNF may conduct risk-based identity, address, account, device, sanctions, resale, pickup, carrier, and payment verification. Refusal to cooperate with reasonable verification or failure to satisfy ZNF’s requirements may result in order delay, refusal, cancellation, payment hold, account restriction, or denial of service to the fullest extent permitted by law.
4.4 Retail / Consumer Transactions
Retail / consumer orders are generally subject to ZNF’s published checkout terms, shipping methods, return limitations, and timing windows, together with any non-waivable consumer rights under applicable law. Nothing in this Policy waives rights that cannot legally be waived.
4.5 Wholesale / Bulk / Freight / Export / Commercial Orders
Business, wholesale, export, private-label, pallet, container, LTL, FTL, or other commercial orders may be subject to additional terms, including deposits, prepayment, freight-class adjustments, accessorial charges, carrier account obligations, receiving obligations, tax-exemption documentation, and commercially reasonable restocking, claim, documentary, and evidence-preservation requirements.
Unless ZNF expressly agrees otherwise in a signed writing, no purchase order, vendor form, buyer-side boilerplate, procurement portal term, email footer, or unilateral customer document shall amend or supersede the ZNF Legal Policies.
4.6 Marketplace and Social-Commerce Transactions
If a transaction occurs through a marketplace or social-commerce channel and ZNF is the seller or merchant of record, this Policy and the other ZNF Legal Policies apply in addition to any mandatory platform rules. If the platform or a third party is the seller or merchant of record, that party’s transactional rules may control some aspects of checkout, return, refund, payment, review, or dispute handling, and ZNF may not control those processes.
4.7 Local Pickup
For local pickup orders, ZNF may require order-number verification, identity verification, payment verification, signature, and proof of authority for any pickup agent. Once goods are tendered or released to the customer or the customer’s authorized representative at ZNF’s West Palm Beach facility or designated pickup point, ZNF’s delivery obligation is satisfied to the fullest extent permitted by law.
5. SUBSCRIPTIONS, AUTO-SHIP, CONTINUITY PROGRAMS, AND AUTOMATIC RENEWALS
5.1 Scope
This Section applies to any recurring purchase, continuity program, subscription, auto-ship arrangement, replenishment plan, standing order, recurring invoice, recurring shipment schedule, or similar arrangement (collectively, a “Subscription”).
5.2 Authorization for Recurring Charges
By enrolling in a Subscription, you expressly authorize ZNF and its service providers to store or tokenize your payment credentials as permitted by law and to charge your selected payment method on a recurring basis for the then-current price of the subscribed item(s), together with applicable taxes, shipping, handling, surcharges, and other charges clearly disclosed as part of the Subscription.
5.3 Material Terms and Consent
Before a Subscription is activated, ZNF will disclose the material terms of the Subscription in a manner intended to satisfy applicable law, including, where applicable:
-
that the Subscription continues or renews unless canceled;
-
the product or service covered;
-
the billing or shipment frequency;
-
the amount or method of determining recurring charges;
-
the length of any free trial, introductory period, or promotional period;
-
the price after any promotional period;
-
cancellation methods; and
-
any other material terms required by applicable law.
Where required by law, ZNF will obtain affirmative consent before charging for the Subscription.
5.4 Acknowledgment and Record Retention
Where required by law, ZNF will provide a retainable acknowledgment of the Subscription containing the material terms and cancellation information. ZNF may retain records of consent and activation for the period required or permitted by law.
5.5 Introductory Prices, Free Trials, and Promotional Periods
Any introductory, discounted, free-trial, or first-order Subscription offer applies only as expressly stated at enrollment. Unless expressly stated otherwise, promotional pricing does not continue indefinitely, and the Subscription will renew at the then-current recurring price after the promotional or introductory period ends.
5.6 Renewal Reminders and Changes
Where required by law, ZNF will provide renewal reminders, fee-change notices, and material-change notices before the relevant renewal or change takes effect. Continued participation after a disclosed change becomes effective constitutes acceptance of the changed terms to the fullest extent permitted by law.
5.7 Cancellation
You may cancel a Subscription using the cancellation methods made available by ZNF, subject to the timing rules below. Where required by law, ZNF will provide cost-effective, timely, and easy-to-use cancellation methods, including online cancellation for online signups where required.
Cancellation is prospective only. If you do not cancel before the next billing or processing cutoff identified by ZNF, the next renewal charge and shipment may still occur.
5.8 Renewals Already Processed or Shipped
Once a renewal order has been processed, shipped, tendered to a carrier, or released for pickup, that renewal is treated as a completed order and is governed by this Policy, the Shipping & Delivery Policy, and the Cancelations, Returns, Refunds & Title Policy.
5.9 Suspension, Skips, and Discontinuation
ZNF may permit or deny skips, pauses, quantity changes, or frequency changes in its discretion and subject to applicable law. ZNF may suspend or terminate a Subscription for failed payment, fraud, abuse, compliance risk, operational impracticability, product discontinuation, or other lawful reasons.
6. PRE-ORDERS, BACKORDERS, AND FUTURE-AVAILABILITY ITEMS
6.1 Nature of Pre-Orders and Backorders
A “Pre-Order” or “Backorder” is an order for a product that is not immediately available for shipment or pickup. All launch dates, restock dates, availability estimates, shipping estimates, and fulfillment windows are estimates only unless ZNF expressly guarantees them in a signed writing.
6.2 Payment and Authorization
ZNF may require full payment, partial payment, deposit, or payment authorization for a Pre-Order or Backorder. Unless otherwise prohibited by law, you authorize ZNF to capture the applicable amount when due under the disclosed terms.
6.3 Delay, Allocation, and Commercial Impracticability
Pre-Orders and Backorders may be delayed due to supplier issues, packaging or labeling changes, regulatory review, customs issues, raw-material shortages, quality-control review, force majeure, or other commercially reasonable causes. ZNF may allocate limited inventory, partially fulfill orders, split shipments, or cancel where fulfillment becomes unlawful, impracticable, or commercially unreasonable.
6.4 Delay Notices and Refund Handling
For covered orders, ZNF intends to comply with applicable shipment-timing laws concerning delays, delay notices, delay consent, and refunds.
6.5 Cancellation Before Shipment
Unless otherwise clearly disclosed for a specific offer and unless prohibited by law, a customer may request cancellation of a Pre-Order or Backorder before ZNF has shipped, tendered, or released the goods. After shipment or pickup release, the order is treated as a completed sale and is governed by the Cancelations, Returns, Refunds & Title Policy.
7. SHIPPING, LOCAL PICKUP, FREIGHT, TITLE, RISK OF LOSS, AND TRANSPORT CLAIMS
7.1 Incorporated Shipping and Returns Policies
All shipping, delivery, local pickup, freight, receiving, inspection, title, risk-of-loss, and return-related terms are governed together with ZNF’s Shipping & Delivery Policy and Cancelations, Returns, Refunds & Title Policy, both of which are incorporated here by reference.
7.2 Carriers and Shipment Methods
ZNF may ship using one or more carriers or logistics providers, including without limitation FedEx, USPS, UPS, DHL, regional carriers, LTL carriers, FTL carriers, intermodal providers, ocean carriers, air cargo carriers, and customer-designated carriers.
7.3 Transit Times and Delivery Dates Are Not Guaranteed
All shipment dates, transit times, delivery dates, cutoffs, freight schedules, and route maps are estimates only unless ZNF expressly guarantees them in a separately signed writing.
7.4 Title and Risk of Loss
Except as otherwise expressly provided in a signed writing, the Shipping & Delivery Policy, or the Cancelations, Returns, Refunds & Title Policy:
-
where goods are shipped by carrier and destination delivery is not specifically required, risk of loss passes when the goods are duly delivered to the carrier;
-
where destination delivery is specifically required, risk of loss passes when the goods are duly tendered at that destination so the buyer can take delivery; and
-
in other merchant-sale situations not involving carrier shipment, risk of loss passes on the buyer’s receipt of the goods.
7.5 Customer-Arranged Carrier Pickup and Customer Shipping Accounts
If the customer designates a carrier, arranges pickup, or provides a carrier account, ZNF’s delivery obligation is satisfied upon tender to that carrier or pickup agent, and the customer is responsible for related carrier charges, accessorials, reconsignment, rerouting, address correction, redelivery, and related fees, except to the extent expressly agreed otherwise in writing.
7.6 Freight Receiving, Inspection, and Evidence Preservation
For palletized, LTL, FTL, export, or other freight shipments, the customer must inspect the shipment at delivery before signing, note visible damage or shortage on the delivery receipt / BOL / POD, take photographs, preserve packaging and evidence, and cooperate in any investigation or claim process. Failure to note damage, preserve evidence, or cooperate may impair or defeat claims and remedies.
7.7 Carrier Claims
ZNF may provide reasonably available commercial documents such as invoices, lot identifiers, packing lists, tracking information, and shipment references. Unless ZNF expressly agrees otherwise in writing, the customer remains responsible for timely submitting claims to the appropriate carrier or insurer and complying with the governing carrier, insurance, tariff, bill-of-lading, or transport-law requirements.
8. INTERNATIONAL SALES, EXPORTS, CANADA, IMPORT COMPLIANCE, AND CROSS-BORDER RISK ALLOCATION
8.1 International Sales at Customer Risk
ZNF may, but is not obligated to, sell and ship internationally. Customers outside the United States purchase at their own risk with respect to local law, import admissibility, customs rules, taxes, duties, labeling restrictions, sanctions, and other governmental requirements. ZNF may refuse or cancel any international order where legality, admissibility, documentation, payment, or logistics are uncertain or commercially unreasonable.
8.2 Importer of Record; Duties; Taxes; Brokerage; Permits
Unless ZNF expressly agrees otherwise in writing, the customer is the importer of record for international shipments and is solely responsible for customs duties, VAT, GST, excise, brokerage, permits, licenses, registrations, import legality, governmental inspections, and documentary requirements.
8.3 Canada-Specific Baseline
For Canada-bound commercial shipments, customers are responsible for tariff classification, valuation, proof of origin where required, customs duties, GST/HST, brokerage, and local admissibility requirements, unless ZNF expressly agrees otherwise in writing.
8.4 Customs Delays, Refusals, and Returned International Shipments
ZNF is not liable for customs delays, import holds, seizures, refusals, inspections, abandonment, storage, demurrage, destruction, or return-to-origin charges caused by customer noncompliance, missing documentation, unpaid duties/taxes, local import restrictions, or the acts or omissions of carriers, brokers, or government authorities. If an international shipment is returned, refused, abandoned, or destroyed, ZNF may deduct shipping, return shipping, brokerage, customs, storage, disposal, and related charges from any refund or credit to the fullest extent permitted by law.
8.5 Export / Sanctions / Restricted-Country Compliance
ZNF may refuse, suspend, or cancel transactions involving destinations, persons, goods, payment routes, or documentation that present export-control, sanctions, anti-boycott, customs, or other compliance risk. Nothing in this Policy obligates ZNF to proceed with a transaction that ZNF believes may violate applicable law or carrier restrictions.
9. RETURNS, REFUNDS, TITLE, AND ORDER-SPECIFIC REMEDIES
9.1 Controlling Policy
All matters concerning cancelations, returns, refunds, exchanges, RMAs, inspection, restocking, title, risk of loss, and related operational rules are governed by the Cancelations, Returns, Refunds & Title Policy.
9.2 No Additional Return or Refund Rights Created Here
Nothing in this Policy creates any return, refund, exchange, revocation, rescission, or offset right beyond rights expressly provided in the applicable ZNF Legal Policies, a separate signed writing, or non-waivable law.
9.3 Inspection, Cooperation, and Preservation of Evidence
Where a customer claims shortage, damage, defect, contamination, tampering, mislabeling, wrong shipment, or other nonconformity, the customer must preserve product, packaging, lot identifiers, and related evidence, and must cooperate reasonably with ZNF’s investigation, documentation, food-safety, insurance, carrier-claim, customs, or regulatory processes.
9.4 Refunds Without Return; Credits; Discretionary Relief
Any refund, credit, replacement, reshipment, accommodation, or other goodwill relief not otherwise required by law is provided solely at ZNF’s discretion and does not create a waiver, precedent, or ongoing obligation.
9.5 No Setoff or Deduction by Customer
Except to the extent prohibited by law or expressly approved in writing by ZNF, the customer may not withhold, offset, net, backcharge, deduct, or otherwise reduce amounts owed to ZNF based on alleged disputes, shortages, or claims.
9.6 California Return-Policy Notice
For California customers, ZNF intends that its posted return and refund disclosures, including the Cancelations, Returns, Refunds & Title Policy and related checkout / Legal-page notices, constitute conspicuous disclosure of refund practices to the extent required by California law.
10. DISCLAIMERS OF WARRANTIES; PRODUCT, CONTENT, AND REGULATORY DISCLAIMERS
10.1 “As Is,” “As Available,” and “With All Faults”
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT ONLY TO THE EXTENT A NON-WAIVABLE WARRANTY CANNOT LEGALLY BE DISCLAIMED, ALL PRODUCTS, CONTENT, COMMUNICATIONS, SERVICES, CHECKOUT FLOWS, ORDERING CHANNELS, MARKETPLACE LISTINGS, PICKUP SERVICES, SHIPPING SERVICES, AND RELATED COMMERCIAL ACTIVITIES ARE PROVIDED BY ZNF ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
10.2 Disclaimer of Implied Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, ZNF DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR TRADE PRACTICE.
10.3 No Medical, Legal, Tax, Customs, or Professional Advice

10.4 Natural Variation
Because many ZNF products are natural, agricultural, botanical, minimally processed, or lot-variable goods, normal variation may occur in taste, aroma, color, density, particle size, granularity, clumping behavior, moisture response, appearance, and related characteristics. Such variation alone does not constitute defect, adulteration, contamination, or nonconformity.
10.5 No Government Approval or Endorsement
Unless expressly and lawfully stated otherwise in writing by ZNF, no ZNF product, content item, label statement, testimonial, review, or communication shall be interpreted as approved, certified, endorsed, or substantiated by the FDA, USDA, FTC, Health Canada, or any other governmental or quasi-governmental body.
10.6 Third-Party Platform, Carrier, and Marketplace Disclaimer

12.2 Exclusion of Indirect and Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, ZNF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, PUNITIVE, OR STATUTORY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, COVER COSTS, BUSINESS INTERRUPTION, STORAGE COSTS, DEMURRAGE, CHARGEBACK COSTS, DATA LOSS, CARRIER-RELATED LOSSES, OR SIMILAR COMMERCIAL LOSS.
12.3 Exclusive Remedy
TO THE EXTENT ANY CLAIM IS NOT OTHERWISE DISCLAIMED OR BARRED, THE CUSTOMER’S SOLE AND EXCLUSIVE REMEDY SHALL BE, AT ZNF’S OPTION AND SUBJECT TO APPLICABLE LAW:

12.4 Commercial Transactions
To the fullest extent permitted by law, the parties agree that these liability allocations are a material part of the bargain and are especially appropriate for wholesale, freight, export, private-label, commercial, and other B2B transactions.
12.5 Consumer Carve-Out
Nothing in this Section is intended to exclude or limit any right or remedy that cannot lawfully be excluded or limited under applicable law.
13. FRAUD, ABUSE, CHARGEBACKS, COMPLIANCE, AND ENFORCEMENT
13.1 Fraud, Abuse, and Suspicious Activity
ZNF may refuse, pause, investigate, limit, cancel, intercept, hold, or reverify any order, payment, pickup, shipment, return, refund request, subscription, review incentive, account, or marketplace transaction where ZNF suspects fraud, theft, chargeback abuse, refund abuse, counterfeit claims, review manipulation, extortion, identity misuse, carrier-claim abuse, sanctions risk, export / customs risk, or other commercially unreasonable or unlawful conduct.
13.2 Chargebacks and Payment Disputes
Where feasible, customers are encouraged to contact ZNF first to resolve billing, shipment, return, pickup, or product issues before initiating a chargeback or payment dispute. Nothing in this Section waives any non-waivable payment-card, consumer, or statutory rights. However, knowingly false, abusive, bad-faith, or duplicative chargebacks may be treated as evidence of fraud, abuse, or breach of contract, and ZNF may preserve records and pursue lawful remedies.
13.3 Compliance With Law; Government and Carrier Cooperation
ZNF may request additional information, certifications, tax documents, resale certificates, importer details, consignee details, sanctions-related information, or other lawful compliance documentation before accepting, shipping, releasing, or refunding an order. ZNF may cooperate with carriers, marketplaces, payment processors, customs authorities, insurers, regulators, law enforcement, courts, and counsel as ZNF deems reasonably necessary to investigate claims, respond to legal process, protect rights, or comply with law.
13.4 Preservation of Records and Evidence
ZNF may preserve orders, lot information, communications, pickup logs, tracking data, screenshots, review or claim history, carrier records, fraud indicators, payment records, packaging evidence, account records, and other business records for legal, operational, food-safety, insurance, arbitration, compliance, evidentiary, or enforcement purposes.
13.5 No Waiver by Delay or Partial Enforcement
ZNF’s delay in exercising, or failure to exercise, any right, remedy, restriction, or enforcement option shall not constitute a waiver of that right or any other right.
14. DISPUTE RESOLUTION, ARBITRATION, GOVERNING LAW, UPDATES, AND SURVIVAL
14.1 Arbitration Incorporated From the TOU
All disputes, claims, controversies, or causes of action arising out of or relating to this Policy, any order, any subscription, any pre-order, any pickup, any shipment, any marketplace transaction where ZNF is the seller or merchant of record, any product, any refund or return issue, any payment issue, or any related ZNF communication shall be resolved exclusively in accordance with the arbitration provisions in the TOU.
14.2 Individual Basis; No Class or Collective Proceedings
To the fullest extent permitted by law, all claims must be brought on an individual basis and not as a plaintiff, claimant, class representative, class member, private attorney general, or participant in any class, consolidated, coordinated, mass, or representative proceeding, except as expressly provided in the TOU or where non-waivable law requires otherwise.
14.3 Governing Law and Seat / Venue
Subject to the supremacy of the Federal Arbitration Act and any non-waivable law that must apply, this Policy and all covered disputes shall be governed by the substantive law of the State of Florida. The seat of arbitration, and the exclusive court forum for any permitted judicial proceeding relating to arbitration, enforcement, or provisional relief, shall be Palm Beach County, Florida, to the extent provided in the TOU and applicable law.
14.4 Survival
All disclaimer, payment, fraud-prevention, compliance, title/risk, limitation-of-liability, arbitration, class-waiver, governing-law, venue, record-retention, evidence-preservation, indemnity, and enforcement provisions shall survive cancellation, refund, return, order completion, delivery, pickup, shipment, policy update, termination, or account closure.
14.5 Severability and Reformation
If any provision of this Policy is held invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted and, if necessary, narrowed only to the extent required so that the remainder of this Policy remains in full force and effect.
