This Purchases, Subscriptions & Pre-Orders Policy (“Policy”) governs all one-time purchases, recurring subscription orders, and pre-order transactions made directly from Z Natural Foods (“ZNF,” “we,” “us,” or “our”) via our website located at https://www.znaturalfoods.com (the “Site”).

By placing any order (including a one-time purchase, subscription, or pre-order) through the Site, you (“Customer” or “you”):

  1. Acknowledge that you have read, understood, and agree to be bound by this Policy;

  2. Acknowledge and agree that this Policy is incorporated into, and forms part of, our Terms of Use (“TOU”);

  3. Agree that our Returns, Refunds & Title Policy governs returns, refunds, exchanges, title, and risk of loss;

  4. Agree that our Privacy Policy (https://www.znaturalfoods.com/pages/legal/privacy-policy) governs the collection, use, and disclosure of your personal information; and

  5. ZNF is headquartered in Palm Beach, Florida. This Policy is intended to be interpreted consistently with applicable federal, state, and local law, including consumer-protection, automatic-renewal, warning, and accessibility laws. Nothing in this Policy is intended to waive any non-waivable consumer rights under applicable law.

1. SCOPE & INCORPORATED POLICIES

1.1 Scope

This Policy applies to the following transactions made directly from ZNF via the Site:

  • One-time purchases of products;

  • Recurring subscription purchases and automatic-renewal arrangements; and

  • Pre-orders of products not yet in stock or not yet available for shipment.

This Policy does not apply to purchases made through third-party marketplaces, resellers, or retailers. Those transactions are governed by the terms and policies of the applicable seller, and ZNF is not responsible for such third-party terms.

1.2 Incorporated by Reference; ZNF Legal Policies

This Policy is part of a unified legal framework for the Site and is to be read together with the ZNF Legal Policies. In particular:

  • The Terms of Use govern your general use of the Site, binding arbitration, disclaimer of warranties, limitation of liability, and class-action waiver.

  • The Returns, Refunds & Title Policy governs product returns, refunds, exchanges, and the passage of title and risk of loss.

  • The Privacy Policy governs how we collect, use, disclose, and protect personal information.

  • The California Prop 65 Notice, Accessibility Policy/Statement, and other policies on the Legal page provide additional, product- and topic-specific terms.

By completing a purchase on the Site, you agree that this Policy, the TOU, and all ZNF Legal Policies then in effect collectively form the legal agreement between you and ZNF regarding your transaction, subject to non-waivable statutory rights.

In the event of a direct conflict relating to online purchase mechanics:

  1. The Terms of Use control;

  2. This Policy controls next; then

  3. The Returns, Refunds & Title Policy, Privacy Policy, and other ZNF Legal Policies apply.

2. ORDERING, ACCEPTANCE & ONE-TIME PURCHASES

2.1 Offer and Acceptance

All orders placed through the Site constitute an offer by you to purchase products under the terms of this Policy, the TOU, and the ZNF Legal Policies.

ZNF reserves the right, in its sole discretion, to accept or reject any order for any lawful reason. ZNF’s acceptance occurs when we:

  • Charge your designated payment method; and/or

  • Dispatch the order or send you an order-shipment or fulfillment confirmation.

Until acceptance, ZNF has no obligation to fulfill your order, and we may cancel your order and, if applicable, issue a refund.

2.2 Product Information & Regulatory Framework

We endeavor to ensure that product descriptions, ingredients, and other information on the Site are accurate and consistent with applicable labeling and advertising requirements. However:

  • Natural variations in agricultural products (including color, taste, aroma, particle size, and texture) are expected and do not constitute defects.

  • Minor inconsistencies between the product received and online images or descriptive text (such as variations in packaging design, lot, or harvest characteristics) do not, by themselves, create a right of return beyond those granted in the Returns, Refunds & Title Policy or applicable law.

Nothing in our product descriptions should be construed as medical or health advice. Any health-related statements are intended for informational and educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.

2.3 Right to Limit or Cancel Orders

We may, in our sole discretion and to the extent permitted by law:

  • Limit or cancel quantities purchased per person, household, account, payment method, or order;

  • Refuse or cancel orders that appear to be placed by dealers, resellers, distributors, or other commercial buyers;

  • Refuse or cancel orders we reasonably suspect are associated with fraud, abuse, violation of this Policy, the TOU, or any applicable law.

If we cancel your order after your payment method has been charged, we will issue an appropriate refund.

2.4 Pricing & Errors

All prices on the Site are listed in U.S. dollars and are subject to change without notice, except where applicable law restricts price changes for a particular transaction or jurisdiction.

We reserve the right to correct any errors, inaccuracies, or omissions related to pricing, product descriptions, or availability, including after an order has been submitted and accepted. If a pricing or description error affects your order, we may cancel the order or contact you for confirmation before proceeding. If your order is canceled after payment, we will refund the amount paid.

2.5 Shipping Time Frames & Federal Mail Order Rule

Processing and shipping times stated on the Site or in order confirmations are estimates only. We intend to maintain a reasonable basis to expect that merchandise will be shipped within the advertised time frame, or within the default period required by federal mail order rules if no time is specified. If we cannot ship within the applicable time frame, we will provide notice and any options required by applicable law (such as consent to a delayed shipment or a refund).

2.6 Title & Risk of Loss

Our Returns, Refunds & Title Policy governs Title to products and risk of loss or damage during transit. In general, risk of loss passes to you upon delivery of the shipment to the carrier, except where applicable law or the Returns, Refunds & Title Policy provides otherwise.

3. PAYMENT AUTHORIZATION & BILLING (ALL PURCHASE TYPES)

By submitting an order, you represent and warrant that:

  • You are legally authorized to use the chosen payment method;

  • The payment information you provide is true, correct, and complete.

You authorize ZNF (and its third-party payment processors) to charge your payment method for the full amount of your order, including product prices, taxes, shipping, and any applicable fees.

We may place a temporary authorization hold on your payment method at the time you place your order. If your payment cannot be completed, your order may be canceled or delayed. We may require additional verification or information before accepting any order.

4. SUBSCRIPTIONS, AUTO-RENEWALS & STATE AUTO-RENEWAL LAWS

4.1 Subscription Enrollment

By enrolling in a subscription, auto-ship, or continuous-service program (“Subscription”), you agree to receive recurring shipments of the selected product(s) at the frequency you choose (e.g., every 30, 60, or 90 days), until you cancel as described in this Policy.

4.2 Automatic Recurring Billing / Negative Option Features

By enrolling in a Subscription, you expressly authorize ZNF to store your payment information and to bill your payment method at each renewal for automatically:

  • The then-current price of the subscribed product(s);

  • Applicable taxes;

  • Shipping and handling; and

  • Any applicable regulatory or environmental fees.

Your Subscription may constitute a “negative option” or automatic-renewal arrangement under federal and state law. Your failure to cancel before the next billing date will result in automatic charges until you cancel.

4.3 Compliance with State Automatic Renewal Laws

To the extent required by applicable law, ZNF intends for its Subscription programs to comply with federal and state automatic-renewal and continuous-service laws, including, where applicable, laws in states such as California, New York, Colorado, and other jurisdictions that impose specific requirements for:

  • Clear and conspicuous disclosure of automatic-renewal and continuous-service terms before obtaining payment information;

  • Affirmative consent to automatic-renewal terms;

  • Post-purchase acknowledgments that summarize key terms and provide cancellation instructions;

  • Advanced written notices of certain renewals and, where required, notices of material changes, including price increases; and

  • Simple, cost-effective, and easy-to-use cancellation mechanisms, including online cancellation options where sign-up occurs online.

Where such laws apply, ZNF will provide disclosures, acknowledgments, notices, and cancellation methods intended to meet or exceed those statutory requirements.

4.4 Auto-Renewal; Price & Term Changes

Subscriptions will automatically renew at the end of each billing cycle unless and until you cancel. Renewal charges will be billed to the payment method you have on file at the then-current Subscription price, plus applicable taxes, shipping, and fees.

ZNF may change Subscription pricing, frequency options, or other material terms in its discretion, consistent with applicable law. Where required, we will provide advance notice of material changes, and in some jurisdictions may seek your affirmative consent to certain changes (such as price increases). If you do not agree to the modified terms, you must cancel your Subscription before the effective date of the change.

4.5 Managing or Canceling Subscriptions

You may modify or cancel your Subscription at any time prior to the next scheduled billing date by using one or more of the following methods:

  • Logging into your account on the Site and using available Subscription-management tools;

  • Using the links provided in Subscription or order confirmation emails (where available); or

  • Contacting customer support using the contact information provided on the Site.

To the extent required by law, we will ensure that Subscription cancellation is at least as straightforward as Subscription enrollment, particularly where you enrolled online.

Cancellation will take effect prospectively. It will not apply to orders that have already been processed or shipped.

4.6 Processed Subscription Orders

Once a Subscription shipment has been processed or shipped, it is treated as a completed purchase and is subject to the eligibility, timing, and other limitations in our Returns, Refunds & Title Policy and applicable law.

5. PRE-ORDERS

5.1 Nature of Pre-Orders

A “Pre-Order” is an advance purchase of a product that is not yet available for shipment (for example, because it is newly introduced, temporarily out of stock, or awaiting production or packaging). Any availability or release dates displayed are estimates and are subject to change.

5.2 Payment & Pre-Authorization

We may require full payment or a deposit at checkout for Pre-Orders. If a deposit is collected, you authorize ZNF to charge the remaining balance automatically when the product is ready to ship.

Your payment method may be pre-authorized or charged at different stages of the Pre-Order process, as described during checkout.

5.3 Shipping Time Frames & Delays

ZNF intends to maintain a reasonable basis to expect that Pre-Orders will be shipped within the advertised time frame, or within the time frame required by applicable mail order rules if none is stated. However, Pre-Orders may be delayed due to, for example:

  • Supply-chain disruptions;

  • Manufacturing delays;

  • Quality-assurance issues;

  • Regulatory or customs holds;

  • Force majeure events or other circumstances beyond our reasonable control.

If we are unable to ship a Pre-Order within the applicable time frame, we will provide notice and any options required by law (such as the opportunity to consent to a new shipping date or obtain a refund).

5.4 Cancellation of Pre-Orders

Before Shipment: You may cancel a Pre-Order that has not yet shipped and receive a refund of amounts paid, subject to any permissible limitations disclosed at the time of purchase and consistent with applicable law.

After Shipment: Once a Pre-Order has been shipped, it is treated as a completed purchase and is governed by our Returns, Refunds & Title Policy and applicable law for any return or refund rights.

6. RETURNS, REFUNDS, EXCHANGES & CALIFORNIA RETURN-POLICY NOTICE

6.1 Controlling Policy

All matters related to returns, refunds, exchanges, title, and risk of loss are governed by our Returns, Refunds & Title Policy, which is incorporated into this Policy and is accessible on our Legal page. That policy also explains any applicable time limits, conditions for resaleable condition, and procedures for initiating a return or requesting a refund.

6.2 California Civil Code § 1723

For customers in California, ZNF intends that its Returns, Refunds & Title Policy, as clearly posted and linked on the Site prior to purchase, constitutes a clear and conspicuous disclosure of our refund and exchange practices, consistent with the requirements of California Civil Code § 1723 and related guidance. Where required by California law, if a limited or no-refund policy applies, it will be clearly communicated before you complete your purchase.

7. CALIFORNIA PROPOSITION 65 NOTICE & ALLOCATION OF RISK

7.1 General Proposition 65 Warning

California’s Safe Drinking Water and Toxic Enforcement Act of 1986 (“Proposition 65”) requires businesses to provide a “clear and reasonable warning” before exposing individuals in California to certain chemicals known to the State of California to cause cancer, congenital disabilities, or other reproductive harm, at exposure levels that trigger warning obligations.

ZNF may provide Proposition 65 warnings on product labels and/or on the Site (including “short-form” or “safe harbor” warnings) for certain products, especially where the products may be sold to, shipped to, or used in California or where exposure levels have not been definitively determined to be below Proposition 65 thresholds.

7.2 No Admission of Unsafe Product or Legal Liability

The inclusion of a Proposition 65 warning:

  • Is intended solely to comply with Proposition 65 and its implementing regulations;

  • Does not constitute an admission or representation by ZNF that a product is unsafe, defective, adulterated, misbranded, or in violation of any federal, state, or local law;

  • Does not necessarily indicate that a product will cause harm when used as directed or in a reasonably foreseeable manner; and

  • Should be understood as a risk-management and compliance measure reflecting the breadth of Proposition 65’s requirements and private-enforcement regime.

7.3 No Additional Refund or Remedy Solely Due to Prop 65 Warning

The presence or absence of a Proposition 65 warning on a product label or on the Site does not, by itself, create any additional warranty, return right, or remedy beyond those provided in this Policy, the Returns, Refunds & Title Policy, the TOU, or non-waivable statutory rights.

7.4 Resale and Downstream Compliance

If you resell ZNF products or incorporate them into other products, you are responsible for determining whether Proposition 65 applies to your activities and for providing any required warnings or disclosures in connection with your own sales or distributions.

8. ACCESSIBILITY, ADA & STATE CIVIL RIGHTS LAWS

8.1 ADA Title III & Website Accessibility

ZNF strives to make the Site reasonably accessible to individuals with disabilities in a manner consistent with applicable law. To the extent ZNF is considered a “public accommodation” under Title III of the Americans with Disabilities Act (ADA), we aim to provide effective communication and reasonable access to our online content, recognizing that technical standards and expectations continue to evolve.

Any dispute, claim, or controversy arising out of or relating to website accessibility, alleged violations of the ADA, or similar state laws shall, to the maximum extent permitted by law, be resolved in accordance with the binding arbitration and class-action waiver provisions in the TOU.

ZNF intends that its purchase, Subscription, Pre-Order, warning, and accessibility practices comply with applicable federal and state consumer-protection laws and regulations, including, where applicable:

  • Federal Trade Commission (“FTC”) rules and guidance on deceptive or unfair practices, negative-option marketing, billing disclosures, and e-commerce practices;

  • Federal and state automatic-renewal and continuous-service statutes regarding disclosure, consent, acknowledgments, renewal notices, and cancellation methods;

  • Federal and state warning and labeling laws, including Proposition 65 for California, and

  • Federal and state accessibility and civil rights statutes, including the ADA and analogous state civil rights laws.

Nothing in this Policy is intended to limit any non-waivable rights you may have under consumer-protection, privacy, or civil-rights laws.

10. DISPUTE RESOLUTION, ARBITRATION & GOVERNING LAW

10.1 Binding Arbitration & Class-Action Waiver

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS POLICY, ANY PURCHASE (INCLUDING ONE-TIME PURCHASES, SUBSCRIPTIONS, OR PRE-ORDERS), OR YOUR USE OF THE SITE SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AS SET FORTH IN THE ARBITRATION AGREEMENT CONTAINED IN OUR TERMS OF USE AND PURSUANT TO THE FEDERAL ARBITRATION ACT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, EXCEPT TO THE LIMITED EXTENT EXPRESSLY PROVIDED IN THE TERMS OF USE.

10.2 Governing Law

Subject to the supremacy of the Federal Arbitration Act and any mandatory consumer-protection statutes that must apply based on your location, this Policy and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws rules.

11. PRIVACY & DATA USE

ZNF’s collection, use, disclosure, and protection of personal information in connection with one-time purchases, Subscriptions, and Pre-Orders are governed by our Privacy Policy, which is available on the Legal page and referenced throughout the Site.

To the extent ZNF is subject to state consumer-privacy regimes (for example, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and similar state laws), we will handle personal information of residents of those jurisdictions in accordance with those laws and our Privacy Policy.

12. CHANGES TO THIS POLICY & ENTIRE AGREEMENT

ZNF may amend, modify, or update this Policy from time to time, consistent with applicable law. Any changes become effective when the revised Policy is posted on the Site or on the Legal page, unless a later effective date is stated.

Your continued purchases, Subscriptions, Pre-Orders, or use of the Site after the effective date of any updated Policy constitute your acceptance of the revised terms, subject to any additional consent requirements under applicable law (for example, for certain automatic-renewal changes).

As to online purchases from ZNF, this Policy, together with the Terms of Use, the Returns, Refunds & Title Policy, the Privacy Policy, and all other ZNF Legal Policies posted on the Legal page, constitutes the entire agreement between you and ZNF regarding the purchase-related terms of your transactions, except where applicable law provides additional non-waivable rights or obligations.
